M&A Attorney (Senior-Level or Of Counsel)
A leading law firm is seeking a Senior Associate or Of Counsel attorney with strong private equity experience to join its corporate practice. The ideal candidate will have a minimum of five years of experience representing private equity firms and their portfolio companies across a wide range of complex transactional matters.
Responsibilities:
Advise private equity clients on equity investments, co-investments, investment management matters, and general corporate transactions.
Draft and negotiate operating agreements, partnership agreements, shareholder agreements, investor rights agreements, and related transactional documents.
Support portfolio companies with day-to-day corporate governance and ongoing legal needs.
Work with management teams on equity arrangements, including incentive equity terms.
Collaborate across practice areas and assist with transactions involving private equity fund structures and mergers and acquisitions.
Qualifications:
Juris Doctor (J.D.) from an ABA-accredited law school with strong academic performance.
At least five years of experience advising private equity firms and portfolio companies on complex transactions.
Admission to the relevant state bar or ability to become admitted.
Excellent drafting, communication, and analytical skills.
Ability to work independently while contributing effectively in a team environment.
